Ledger Terms of Service (End User License Agreement)

Welcome to Ledger. Ledger is a bookkeeping automation product from Productive Studio, powered by Ellestra Studio. These Terms of Service ("Terms" or "EULA") form a legal agreement between you and 1348596 B.C. Ltd. (the "Company", referred to as "we", "us", or "Ledger" throughout).
By creating an account or using Ledger, you agree to these Terms. If you don't agree, don't use the service.
1. What Ledger is
Ledger is a bookkeeping automation tool. It uses artificial intelligence to:
- Read receipts and invoices you upload
- Categorize bank and credit card transactions
- Detect financial anomalies (duplicate charges, missing tax, misclassifications)
- Propose journal entries and post them to your connected QuickBooks Online company (with your approval)
- Archive receipts to your connected Google Drive
Ledger is a tool, not a bookkeeper or accountant. We do not provide accounting, tax, or legal advice. See §7 for important disclaimers.
2. Your account
To use Ledger, you must:
- Be at least 18 years old
- Have authority to bind the business or entity whose books you are managing
- Provide accurate account information
- Keep your login credentials confidential
- Notify us immediately if you suspect unauthorized access
You are responsible for all activity in your account.
3. Your data — you own it
Your financial data belongs to you. Ledger stores and processes it to provide the service, but ownership stays with you.
- You may export all your data at any time (CSV, JSON)
- You may delete your account at any time (§13)
- You may withdraw consent for AI processing (which means cancelling your account)
- We will not sell, license, or share your data except as described in the Privacy Policy
4. Ledger's obligations
We commit to:
- Providing the service on a commercially reasonable-effort basis
- Encrypting your data in transit and at rest
- Isolating your data from other customers
- Notifying you within 72 hours of any confirmed data breach affecting your data
- Providing 30 days' notice of material Terms changes
We do NOT commit to:
- 100% uptime
- Accuracy of AI-generated categorizations, extractions, or entries (§7)
- Replacement of professional accounting or tax advice
- Compatibility with every future version of connected services (QBO, Google Drive, banks)
5. Your obligations
You agree to:
- Use Ledger only for legitimate business bookkeeping
- Not upload malware, unlawful content, or data belonging to others without authorization
- Not attempt to reverse-engineer, decompile, or extract Ledger's source code
- Not resell Ledger's service without a written reseller/bookkeeper partnership agreement
- Not use Ledger to launder funds, evade taxes, or violate any law
- Review and approve AI-generated entries before they are posted to your books
- Maintain your own backups of critical financial data
6. Payment and subscription
Pricing is listed at ledger.productivecrm.app/pricing (URL when live). Current plans include Trial (free, limited), Micro, Starter, Pro, Business (monthly subscriptions), and Bookkeeper (partner program).
Billing:
- Subscriptions are billed monthly in advance via Stripe
- All fees are in Canadian dollars (CAD) unless stated otherwise
- Applicable GST/HST is added at checkout for Canadian customers
- Failed payments may result in service suspension after 7 days of non-payment
Cancellation:
- You may cancel any time via account settings
- Cancellation takes effect at the end of the current billing period
- No refunds for partial months
- Your data remains accessible for 30 days after cancellation
Price changes:
- We may change subscription prices with 30 days' notice
- Existing subscribers keep their current price for 3 months after any price increase
7. AI-generated content — important disclaimer
Ledger uses artificial intelligence to read receipts, categorize transactions, and propose journal entries.
AI IS NOT PERFECT. You acknowledge:
- AI-generated categorizations, extractions, and entries may contain errors
- You are responsible for reviewing and approving every entry before it is posted to your books
- Ledger provides the AI's outputs as suggestions, not certified accounting decisions
- We are not liable for entries you approve that turn out to be incorrect
- Ledger is not a replacement for a chartered professional accountant (CPA) or bookkeeper for complex accounting, tax filing, audit, or legal matters
If you have specialized needs (multi-entity consolidation, tax planning, audit preparation), consult a CPA.
8. Connected services (QBO, Google Drive, banks)
Ledger connects to third-party services (QuickBooks Online, Google Drive, Flinks, your banking institution) to read and post data on your behalf.
- Your use of those services is governed by THEIR terms and privacy policies, not Ledger's
- We access only the data you explicitly authorize via OAuth
- You may disconnect any integration at any time via account settings
9. Intellectual property
Ours: Ledger's software, brand, UI, and AI-training methodologies are our intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable license to use Ledger during your subscription.
Yours: Your financial data, receipts, and any content you upload remains your property.
Feedback: By submitting feedback, feature requests, or bug reports, you grant us the right to use that feedback to improve Ledger, without compensation.
10. Warranties — "AS IS"
Ledger is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We specifically disclaim:
- Warranties of merchantability
- Warranties of fitness for a particular purpose
- Warranties of non-infringement
- Warranties of accuracy of AI-generated content
- Warranties that the service will be uninterrupted or error-free
11. Limitation of liability
To the maximum extent permitted by law:
Ledger's total liability to you for all claims arising from or relating to the service, in any 12-month period, will not exceed the amount you paid us in the previous 12 months.
We are NOT liable for:
- Indirect, consequential, incidental, special, or punitive damages
- Lost profits, lost revenue, lost data, or business interruption
- Errors in AI-generated categorizations or entries that you approved
- Tax reassessments, audit findings, or CRA/IRS penalties resulting from your books
- Third-party service failures (QBO downtime, bank disconnections, Anthropic outages)
12. Indemnification
You agree to indemnify and hold harmless 1348596 B.C. Ltd. and its officers, employees, and agents from any claims, damages, or expenses arising from:
- Your use of Ledger
- Your violation of these Terms
- Your violation of any law or third-party right
- Content or data you upload
13. Termination
You may terminate any time via account settings, effective at end of current billing period, or immediately if we materially breach these Terms.
We may terminate or suspend your account:
- If you violate these Terms
- If you don't pay subscription fees within 7 days of due date
- If required by law
- With 30 days' notice for any other reason
Upon termination:
- Your access to Ledger ends
- Your data is retained for 30 days, then archived per Privacy Policy §6
- Provisions that should reasonably survive termination (payment, liability, IP, governing law) survive
14. Changes to these Terms
We may update these Terms. If we make material changes:
- We will notify you by email at least 30 days before changes take effect
- Continued use after that = your acceptance
- If you don't accept, cancel your account before the new Terms take effect
15. Governing law and disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
Any dispute arising from these Terms will be resolved first through good-faith negotiation, then if unresolved, through binding arbitration in Parksville, British Columbia, Canada OR through the courts of British Columbia — at our choice.
You waive any right to a class action.

17. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ledger. They supersede any prior agreements or communications.
If any part of these Terms is found unenforceable, the rest remains in force.
